You agree to indemnify, defend, and hold harmless DFVC and its directors, officers, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

The Portal and its Services are provided on an “AS IS” and “AS AVAILABLE” basis without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
DFVC does not warrant that: (i) the Portal will be uninterrupted, secure, or error-free; (ii) any defects will be corrected; or (iii) the Portal is free from viruses or other harmful components. The information provided on the Portal does not constitute legal, financial, or professional advice.
DFVC reserves the right to modify or replace these Terms at any time at its sole discretion. We will notify you of material changes by posting the updated Terms on the Portal with a revised effective date. Your continued use of the Portal after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
DFVC reserves the right to suspend or terminate your access to the Portal at any time, without notice, if you breach any of these Terms or if we are required to do so by applicable law. Upon termination, all provisions of these Terms that by their nature should survive shall continue to apply, including intellectual property provisions, disclaimers, indemnification, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be resolved through good-faith negotiations between the parties.
If the dispute is not resolved within thirty (30) days of written notice, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, or in the absence of agreement, appointed in accordance with the said Act. The seat and venue of arbitration shall be New Delhi, India. The language of arbitration shall be English.
Subject to the above, the courts of New Delhi shall have exclusive jurisdiction over any matter arising out of these Terms.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and DFVC with respect to your use of the Portal and supersede all prior agreements and understandings.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
No failure or delay by DFVC in exercising any right under these Terms shall constitute a waiver of that right.
You may not assign or transfer your rights or obligations under these Terms without the prior written consent of DFVC. DFVC may freely assign its rights and obligations under these Terms.
DFVC shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, pandemics, government actions, or failure of third-party services.
As part of its ordinary business operations, Dealsflow Ventures Consultants Private Limited (“DFVC”) and its authorised representatives may engage with prospective clients, registered users, business contacts, and members of the wider business and professional community through telephone calls, SMS, WhatsApp, email, and other communication channels.
Such communications may include, but are not limited to:
DFVC’s outreach activities are primarily introductory, informational, and relationship-oriented in nature. In certain cases, DFVC may initiate limited, one-time introductory communication with individuals or businesses to present its services, where such engagement is reasonably assessed to be relevant.
Where no prior relationship or express consent exists, such communication shall be limited in frequency and scope, and shall not be continued where the recipient expresses disinterest or requests discontinuation.
